  • Mandate from a large Gulf Group

The Group is one of the leading institutions in the Middle East with investments in the US, Europe and all over the world including Egypt. We assisted them in conducting total restructuring of its companies in Egypt having a total a substantial value. The restructuring assignment included legal, banking, organizational, and financial aspects.  The objective was to create a new road map for the group and structure it so as to be able to execute its huge projects currently in the pipeline.

We have restructured the Group into 16 companies, 2 Holding Companies for each of the two sectors and a parent Holding company that Groups all their assets in Egypt. The assignment started with a full due diligence on the companies’ financial and legal, rectifying some of the entries to be consistent with GAAP, incorporating the companies, capitalizing them through the performance of a detailed valuation based on market value of assets and discounted cash flow.

The Group is one of the leading institutions in Kuwait and the Middle East with investments in the US, Europe and all over the world including Egypt. In Egypt the Group is engaged in Car dealership being the Agent of Volvo and distributor of a number of brands. They are also engaged in Real Estate and Tourism. Our assignment is to restructure the Group in 2 Holding Companies for each of the two sectors and a parent Holding company that Groups all their assets in Egypt.

The assignment started with a full due diligence on the companies’ financial and legal, rectifying some of the entries to be consistent with GAAP, incorporating the companies, capitalizing them through the performance of a detailed valuation based on market value of assets and discounted cash flow.

One of the most important parts of this assignment is the organizational structure analysis report for the existing Organizational Structures along with strengths and Weaknesses points for the car Dealership agent and the most active real estate companies within the group. We also, carried out the design of the new Organizational Structure for the companies as part of the restructuring plan. We have interviewed candidates to occupy the proposed key positions in the new structure proposed. Besides that, we undertook the design of the restructuring business plan for the whole group of companies and approved by the beneficiaries.
